Agreement to Terms

These Terms of Service ("Terms") govern your relationship with Soul Signature Studio ("we," "our," or "us") when you engage our AI consulting, brand development, website creation, or training services. By booking a consultation, signing a service agreement, or using our services, you agree to be bound by these Terms.

As an AI agency committed to ethical practices and conscious leadership, these Terms reflect our values of transparency, fairness, and mutual respect in all business relationships.

Services Description

AI Consulting Services

We provide artificial intelligence consulting, implementation, and training services specifically designed for ethical brands, conscious leaders, and mission-driven organizations:

• AI strategy development and implementation guidance
• Generative AI tool training and workflow integration
• Brand development using AI-assisted design and strategy
• Website creation and optimization (typically 3-day delivery)
• Marketing automation and content creation systems
• Data analytics and insights reporting
• AI governance and compliance consulting (through Matrix360 partnership)

Service Packages

Our services are offered through structured packages designed for different organizational needs:

• Starter Lite ($1,500-$2,500): Launch essentials including rapid brand kit and AI training
• Starter ($3,500-$6,000): Complete brand foundations with website and marketing materials
• Growth ($7,500-$12,000): AI-enabled marketing with content engines and team training
• Enterprise ($15,000-$25,000): Comprehensive AI systems and governance implementation

Payment Terms

Pricing and Invoicing

• All prices are quoted in USD and are subject to applicable taxes
• Service packages include a range to account for project complexity and scope
• Final pricing is confirmed in writing before project commencement
• Custom projects outside standard packages are quoted individually

Payment Schedule

• Projects under $5,000: 50% upfront, 50% upon completion
• Projects $5,000-$15,000: 50% upfront, 25% at midpoint, 25% upon completion
• Projects over $15,000: Custom payment schedule agreed upon in writing
• Monthly retainers: Due on the 1st of each month

Late Payments

Invoices are due within 30 days of receipt. Late payments may incur a 1.5% monthly service charge. Work may be suspended on accounts more than 60 days overdue.

Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide accurate and complete information about project requirements
• Supply necessary assets, content, and access credentials in a timely manner
• Participate in scheduled meetings, reviews, and training sessions
• Provide feedback and approvals within agreed-upon timeframes
• Ensure proper authorization for all project decisions and approvals
• Maintain confidentiality of proprietary AI tools and methodologies shared
• Use our services in compliance with all applicable laws and ethical standards

Intellectual Property Rights

Client-Owned Deliverables

Upon full payment, clients own all custom deliverables created specifically for their project:

• Brand assets, logos, and visual identity elements
• Website design and custom code
• Marketing materials and content
• Custom AI workflows and automation setups

Soul Signature Studio Retained Rights

We retain ownership of:

• Proprietary methodologies, frameworks, and processes
• AI tools, templates, and system architectures
• Training materials and workshop content
• General knowledge and experience gained from projects

Third-Party Licenses

Some deliverables may include third-party tools, fonts, or assets subject to their respective licenses. Clients are responsible for ongoing license compliance.

Limitation of Liability

To the fullest extent permitted by law:

• Our total liability for any claim shall not exceed the amount paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We are not responsible for third-party service interruptions or data breaches
• Clients assume responsibility for how they use AI tools and training we provide
• We are not liable for changes in AI tool availability or functionality

This limitation reflects the nature of technology consulting and the shared responsibility for successful AI implementation.

Cancellation and Refund Policy

Project Cancellation

• Before work begins: Full refund minus any setup or preparation costs
• After work begins: Refund of unused portion based on work completed
• Rush projects: May have different cancellation terms due to resource allocation

Service Guarantee

We guarantee our work meets the agreed-upon specifications. If deliverables don't meet specifications, we will revise at no additional cost or provide a partial refund.

Mutual Termination

Either party may terminate services with 30 days' written notice. Final payment will be prorated based on work completed.

Governing Law and Disputes

These Terms are governed by the laws of the United States. We believe in resolving disputes through open communication and mutual understanding before pursuing legal action.
